Defence tactics used by Dutch companies to fend off hostile bids are under threat as minority shareholders in Rodamco North America (RNA) accuse the directors of "mismanagement" in the handling of a $5.3bn (€6bn) sale.
Minority shareholders in Rodamco are reviving litigation initiated last summer by Westfield America Trust, a real estate company. Westfield's attempts to take control of RNA last August resulted in RNA resorting to defence tactics first used in the battle for control of Gucci, the Dutch listed Italian fashion house, in 2000.
