The European Commission has been warned to avoid legislation as it seeks to promote harmonised corporate governance practices across the EU.

In June, the commission published its action plan on company law and corporate governance with the aim of improving corporate disclosure, strengthening boards of directors and making it easier for investors to exercise their rights.
