European Commission seeks to avoid controversy on takeover directive

The European Commission has taken a cautious approach to laying down common rules for takeover bids across Europe with the long-awaited publication of its new directive.

The proposed legislation, which has been sharply criticised by lawyers during consultation, comes with few surprises and steers carefully around issues that sunk the previous effort a year ago. Many had feared that the directive would cause more confusion and more litigation, but the initial response from members of the European Parliament appeared positive.
