The UK is widely considered to lead the world in the governance of companies — both in setting standards for bosses and directors to work to, and in designing procedures for shareholders to hold them to account.

But what if these standards and methods are less effective than generally supposed? After all, they did not stop Carillion, the construction group, going into liquidation in early 2018, nor BHS , the retailer, in 2016.
