UK financial watchdog warns of new directive's downside

Howard Davies, chairman of the Financial Services Authority, has warned that the proposed European Union prospectus directive threatens to &quotdismantle&quot well-functioning investor protection provisions currently included in the UK's share listing rules.

Davies told the FSA's annual listing rules conference that unless the European draft directive is altered benefits including requiring companies to give shareholders a vote on major deals, the model code on directors' share dealings and the combined code on corporate governance, will be lost.
